Terms of Service

Effective date:

These Terms of Service govern your use of yourops.co, the website of Your Ops, a consulting practice founded and operated by Sara Heggy from Dubai, United Arab Emirates. They also set out the baseline terms on which our fractional COO services are offered worldwide. By using the site or engaging our services, you agree to be bound by them.

Acceptance of These Terms and Eligibility

By accessing or browsing yourops.co, submitting our contact form, or otherwise communicating with Your Ops about our services, you accept these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, please do not use the site.

You must be at least 18 years old to use this website or to engage Your Ops. If you act on behalf of a company or brand, you represent that you have authority to bind it, and "you" in these terms includes that organization.

The Website Is Informational; Services Are Contracted Separately

This website is an informational and marketing site. Nothing published on it — including retainer pricing, service descriptions, or blog articles — constitutes a binding offer, and Your Ops is under no obligation to accept any engagement request.

Consulting services are contracted separately under a signed services agreement or statement of work (a "Services Agreement") between Your Ops and the client. If a signed Services Agreement conflicts with these terms, the Services Agreement prevails for the services it covers; these terms continue to govern use of the website itself.

Description of Services

Your Ops provides fractional COO and business operations consulting for wellness and sport industry brands and startups. Services are delivered remotely from Dubai, United Arab Emirates to clients worldwide and are sold as month-to-month retainers:

  • Quarter-Time retainer — USD 2,200 per month, approximately 10 hours per week of operational support.
  • Part-Time retainer — USD 4,000 per month, approximately 20 hours per week of operational support.

Specific scope, deliverables, start dates, and any variations are defined in the applicable Services Agreement. Your Ops may update or withdraw offerings and pricing on the website at any time; changes do not affect an active engagement except as agreed in writing.

Submitting the contact form or holding an introductory call does not create an engagement; an engagement begins only when both parties sign a Services Agreement.

By contacting us, you consent to Your Ops responding by email or phone using the details you provide, and you agree to keep those details accurate. We operate remotely across time zones, so responses are handled on a business-day basis.

Fees, Invoicing, and Taxes

Retainer fees are stated in US dollars and, unless the Services Agreement provides otherwise, are invoiced monthly in advance. The website itself takes no payments: invoicing and payment are arranged directly between Your Ops and the client through third-party payment providers, whose own terms and processing fees may apply.

Fees are exclusive of any applicable taxes, duties, withholdings, or bank and transfer charges, which are the client's responsibility unless required by law to be borne by Your Ops. If an invoice remains unpaid after its due date, Your Ops may suspend work under the engagement until payment is received.

Client Responsibilities

Fractional operations work depends on collaboration. During an engagement, you agree to:

  • Provide accurate, complete, and timely information, materials, and decisions reasonably needed for the work.
  • Grant reasonable access to the systems, tools, accounts, and team members relevant to the agreed scope.
  • Review deliverables and respond to requests within reasonable timeframes so schedules can be kept.
  • Use the website and the services only for lawful purposes and in compliance with applicable laws.
  • Remain responsible for your own business, hiring, financial, and legal decisions, including those informed by our recommendations.

Intellectual Property

All content on yourops.co — including text, articles, graphics, logos, page designs, and the "Your Ops" name and branding — is owned by Your Ops or its licensors. You may view and share links to the site for personal or internal business purposes, but you may not copy, republish, scrape, or commercially exploit site content without prior written permission.

Deliverables created specifically for a client under a Services Agreement — such as playbooks, process documentation, and operational plans — are assigned to the client upon full payment of the associated fees, unless the Services Agreement states otherwise.

Your Ops retains all rights in its pre-existing methods, frameworks, templates, tools, and know-how, including improvements to them developed during an engagement. To the extent any of these are embedded in a deliverable, the client receives a non-exclusive, non-transferable license to use them as part of that deliverable for its internal business purposes.

Confidentiality

Each party agrees to protect the other's non-public business, financial, technical, and operational information received in connection with an engagement, to use it only for the purposes of the engagement, and to disclose it only to people who need it and are bound by comparable obligations. This obligation is mutual and survives the end of the engagement.

These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, was independently developed, or must be disclosed by law — in which case the receiving party will, where lawful, give prompt notice.

Acceptable Use of the Site

When using yourops.co, you agree not to:

  • Use the site in any way that violates applicable laws or regulations.
  • Interfere with or disrupt the site, its hosting infrastructure, or its security features.
  • Attempt to gain unauthorized access to any part of the site, including the private /admin area reserved for authorized Your Ops staff.
  • Scrape, harvest, or systematically extract content or data from the site by automated means.
  • Upload or transmit malware, or use the contact form to send spam, solicitations, or deceptive or unlawful content.
  • Misrepresent your identity or affiliation when contacting us.

Disclaimers

The website and its content are provided "as is" and "as available", without warranties of any kind, express or implied. Your Ops does not warrant that the site will be uninterrupted, error-free, or free of harmful components.

Blog articles and other content on this site are general operational information only. They are not legal, financial, tax, medical, or other professional advice, and you should not act on them without consulting a qualified professional. Within paid engagements, any legal-compliance-related advisory is limited to US and Canada contexts; operational support is otherwise global.

Consulting outcomes depend on many factors outside our control, including your market, team, and execution. Your Ops therefore does not guarantee any specific business result, revenue, cost saving, or performance improvement.

Limitation of Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Your Ops and Sara Heggy arising out of or in connection with the website or the services is capped at the fees you paid to Your Ops in the three (3) months preceding the event giving rise to the claim.

To the extent permitted by law, Your Ops is not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility of such damages. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for mandatory consumer protections.

Indemnification

You agree to indemnify and hold harmless Your Ops and Sara Heggy from third-party claims, damages, and reasonable costs (including legal fees) arising out of your breach of these terms or a Services Agreement, your unlawful use of the site or the services, or materials you provide to us that infringe the rights of others. This obligation does not apply to the extent a claim results from our own breach or willful misconduct.

Termination

Retainer engagements are month-to-month. Either party may end an engagement in accordance with the notice terms of the applicable Services Agreement or, where that agreement is silent, by written notice taking effect at the end of the current monthly period. Fees for work performed up to the effective end date remain payable.

Your Ops may suspend or terminate your access to the website at any time if you breach these terms. Provisions that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law — survive any termination.

Governing Law and Dispute Resolution

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws principles.

Before starting formal proceedings, the parties will attempt to resolve any dispute through good-faith negotiation: send a written description of the dispute to hello@yourops.co, and the parties will discuss it in good faith for at least thirty (30) days. If the dispute is not resolved, the courts of Dubai, United Arab Emirates have exclusive jurisdiction, without prejudice to any mandatory consumer rights you may hold in your country of residence.

Severability, Changes to These Terms, and Contact

If any provision of these terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. A failure to enforce any provision is not a waiver of the right to enforce it later.

Your Ops may update these terms from time to time. The updated version will be posted on this page with a new effective date, and continued use of the site after that date constitutes acceptance. Material changes affecting active client engagements will be communicated by email.
